Terms of Service

Sheridan Insights provides AI-powered business intelligence software, including data connectors, analytics dashboards, and an AI assistant, delivered as a subscription service (the “Service”). The Service connects to your authorised business systems — including commerce platforms, advertising networks, and accounting systems — and uses AI to analyse and present your commercial data.

We reserve the right to modify, suspend, or discontinue features of the Service with reasonable notice. We will not materially reduce the core functionality of a paid subscription without offering a pro-rata refund for the affected period.

Subscriptions are billed monthly in advance. Your subscription renews automatically on the same date each month unless you cancel. Cancellation takes effect at the end of the current billing period — you retain full access to the Service until that date.

We do not issue refunds for partial billing periods unless required by applicable law. We may update subscription pricing with 30 days written notice. Continued use of the Service after the effective date of a price change constitutes your acceptance of the new pricing.

Payments are processed securely by Stripe. We do not store your payment card details. All prices are exclusive of VAT where applicable. Irish VAT may apply depending on your location and entity type.

You retain full ownership of all data you provide or that is collected from your connected business systems. By connecting those systems, you grant Sheridan Insights a limited licence to access and process that data solely for the purpose of delivering the Service.

We act as a data processor on your behalf. We do not use your business data to train AI models. We do not sell, share, or transfer your data to any third party except as required to operate the Service (see our Privacy Policy for the full list of sub-processors).

On cancellation or written request, we will delete your processed business data within 30 days.

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable law
• Access or attempt to access business systems or data you are not authorised to use
• Attempt to reverse-engineer, decompile, or extract the source code of the Service
• Resell, sublicense, or white-label the Service without our prior written consent
• Use the Service in a way that disrupts, degrades, or damages its infrastructure

We reserve the right to suspend or terminate your account immediately if we determine that your use violates these terms or poses a risk to the platform or to other customers.

We aim for high availability and will use commercially reasonable efforts to maintain uptime. However, we do not guarantee uninterrupted or error-free operation. Planned maintenance will be communicated in advance where reasonably practicable.

We are not liable for any loss or damage arising from service interruptions caused by circumstances outside our reasonable control, including failures of third-party infrastructure providers, internet outages, or force majeure events.

The Sheridan Insights platform, including its software, design, AI models, and documentation, is our intellectual property and is protected by applicable law. These terms do not grant you any rights in our intellectual property except the limited right to use the Service during your subscription.

Any feedback, suggestions, or ideas you provide to us may be used by us to improve the Service without obligation or compensation to you.

To the maximum extent permitted by Irish law, our total aggregate liability to you for any claim arising from these terms or your use of the Service — whether in contract, tort, or otherwise — is limited to the total fees paid by you in the three months immediately preceding the claim.

We are not liable for any indirect, incidental, consequential, or loss-of-profit damages, even if we have been advised of the possibility of such damages. We do not exclude liability for fraud, death or personal injury caused by our negligence, or any other liability that cannot be excluded under Irish law.

Each party agrees to keep confidential information belonging to the other party — including business data, pricing, and technical details — confidential and not to disclose it to third parties, except as required by law or with prior written consent.

These terms are governed by and construed in accordance with the laws of Ireland. Any dispute arising from or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Ireland.

Before initiating formal proceedings, both parties agree to attempt to resolve any dispute in good faith through direct negotiation for a period of 30 days.

We may update these terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated terms. If you do not accept the changes, you may cancel your subscription before the effective date.
